Welcome to PicoreTech. By accessing our website, engaging our backend development services, or using any of our products (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and PicoreTech ("we," "us," or "our"). We reserve the right to modify these Terms at any time. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

Specific deliverables, timelines, and scope for paid projects will be outlined in a separate Statement of Work (SOW) or Master Services Agreement (MSA) signed by both parties.

Our Content: Unless otherwise indicated, the Site and its contents (source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics) are owned or controlled by us and are protected by copyright and trademark laws.
Client Deliverables: Upon full payment of all fees associated with a project, PicoreTech grants the Client a perpetual, non-exclusive, worldwide license to the custom code developed specifically for that Client, unless otherwise specified in the MSA. PicoreTech retains the right to reuse generic code libraries, knowledge, and methodologies.
Invoicing: Services are billed according to the schedule set forth in your specific agreement (e.g., hourly, fixed-price, or retainer). Invoices are due within the timeframe specified on the invoice (typically Net-15 or Net-30).
Late Payments: We reserve the right to suspend services for accounts that are past due. Late payments may incur a finance charge of 1.5% per month or the maximum permitted by law.
Refunds: Due to the nature of custom engineering services, fees paid are generally non-refundable unless PicoreTech fails to deliver the scope defined in the SOW.
In no event will PicoreTech, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or services, even if we have been advised of the possibility of such damages.
Our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding relating to your access to, or use of, the Services shall be instituted in a state or federal court in San Francisco County, California.
